RIGHT OF SALE PROMOTION AGREEMENT

I, hereinafter named THE SELLER, on the one part and on the other Mexretire S. de R.L. de C.V., entity incorporated under the laws of Mexico , hereinafter named THE BROKER, and together referred to as THE PARTIES, have agreed to enter into this RIGHT OF SALE PROMOTION AGREEMENT, based upon the following clauses:

FIRST: AUTHORIZATION TO SELL PROPERTIES: The Seller grants THE BROKER, the right to sell or promote the sale on the real estate properties (collectively called THE PROPERTY), according to the prices, terms and conditions set forth in this contract.

SECOND: Upon execution of the Purchase Agreement on THE PROPERTY, all the rights and obligations of this Agreement will automatically extend through the date of actual closing of the sales contract.

THIRD: THE PARTIES agree that this agreement does not guarantee a sale. This Property will be offered to any person without regard to race, color, religion, sex, handicap, familial status, national original or any other factor protected by national and international laws.

FOURTH: THE BROKER acknowledges and accepts that the right or authorization granted in the first clause of this agreement is not exclusive

FIFTH: DESCRIPTION OF THE PROPERTY AND/OR PROJECTS: THE SELLER declares to be the owner of the property.

SIXTH: THE SELLER declares that he is legally entitled to transfer the Property and all improvements made therein, and undertakes to warrant the title and right of possession in the event of eviction.

SEVENTH: PRICE AND CONDITIONS: Each one of the Projects offered for sale shall be carried out pursuant to the terms and provisions issued by THE SELLER, in writing (via email, fax).
PRICE: As determined from time to time by THE SELLER, and so informs the Broker in writing.

EIGHTH: SELLER EXPENSES: With respect to each transaction, THE SELLER shall pay all expenses he agrees to pay, pursuant to each Purchase Agreement.

NINTH: OBLIGATIONS AND AUTHORIZATION OF THE BROKER: THE BROKER or AGENT agrees to make continuous and diligent efforts to sell the Property until a Sales Contract is pending on the Property. THE SELLER authorizes THE BROKER to:
1) Advertise the Property as the Broker deems advisable in newspapers, publications, computer networks, including "For Sale" and "Sold" signs (once the Seller signs a sales contract); and to use the name of THE SELLER in connection with the marketing or advertising of the Property;
2)	To obtain information concerning the present mortgage(s) on THE PROPERTY;
3)	To provide comparative and objective market analysis information to prospective buyers;
4)	To act as a transaction broker;
5)	To comply with any additional duties agreed upon in
this agreement or in any other written agreement. 

TENTH: OBLIGATIONS OF THE SELLER: Taking into account the obligations of THE BROKER, THE SELLER agrees to:
1.)	Cooperate with the Broker in carrying out the purpose of this Agreement, including immediately referring to the Broker all inquiries regarding the Property's transfer, whether by purchase or any 'other manner of transfer;
2.)	Make THE PROPERTY available to the Broker so he can show it during reasonable hours;
3.)	Inform THE BROKER before leasing, mortgaging or otherwise encumbering THE PROPERTY;
4.)	Indemnify THE BROKER and hold him harmless against any losses, damages, costs and expenses of any nature, including Attorney's fees and from any liability against any person in which THE BROKER may incur due to (a) Seller's negligence, representation, misrepresentations, actions or omissions, (b) the existence of undisclosed material facts on THE PROPERTY.
5.)	Make all legally required disclosures including all facts which may materially affect the Property's value and are not readily observable or known to the Buyer.
6.)	Inform THE BROKER of any material facts which may arise after signing this agreement;
7.)	Consult qualified professionals on existing foreign requirements on legal and tax declarations, property conditions and environmental requirements, as well as concerning other specialized advice.


ELEVENTH: COMPENSATION: THE SELLER will compensate THE BROKER as set forth below, for procuring a buyer who is ready, willing and able to purchase the Property or any interest in the Property pursuant to the terms of this Agreement or any other terms acceptable to THE SELLER. THE SELLER shall pay The Broker pursuant to the following terms: Four percent (4%) of commission based on the total sales price, on the date of closing at the latest, as set forth in each Purchase Agreement.
THE SELLER shall pay the BROKER the commissions as follows: Upon the time of signing and execution of the property .

TWELFTH: TERMINATION: THE SELLER may terminate this contract at any time upon default by THE BROKER of any of the clauses agreed upon, giving therefore due notice in writing. If the purchase transaction cannot be formalized nor executed due to causes attributed to THE SELLER or THE PURCHASER, the latter shall be exempt from any obligation to indemnify THE BROKER, including any expenses caused.

THIRTEENTH: Domiciles and Notices: Any claim, complaint, authorization, instruction, notice, agreement or waiver or any other document which must be notified among THE PARTIES must be made in writing using any means as a letter, document, telegram and letter with notice of receipt, notarial act, addressed to the domiciles and to the individuals set forth herein:

FOURTEENTH: APPLICABLE LAW AND JURISDICTION This contract is executed under to the laws of the Mexican Republic and shall be interpreted in every sense pursuant to these laws.
In the event of any litigation or controversy arising from, or related to the interpretation, application, execution and termination of this contract, as well as any dispute between two brokers for the effects of determining the indemnity, may be settled by the corresponding courts of Mexico City, D.F.

FIFTEENTH: THE PARTIES acknowledge and accept that this contract shall be written in the Spanish language. A free interpretation in English may be supplied and its contents shall not affect the provisions of the Spanish version. 

SIXTEENTH: THE PARTIES hereto declare that they accept the clauses and conditions of this agreement.

CONTRATO DE PROMOCION DE VENTA

Yo, quien en lo sucesivo seré denominado EL VENDEDOR, por una parte; y por la otra
Mexretire S. de R.L. de C.V., sociedad debidamente constituida bajo leyes de los Estados Unidos Mexicanos, a quien en lo sucesivo se le denominará EL CORREDOR y en conjunto se denominan LAS PARTES, convienen en celebrar éste CONTRATO DE DERECHO PARA LA PROMOCION DE VENTA, con base a las siguientes cláusulas:

PRIMERO: AUTORIZACION PARA VENDER PROPIEDADES: El Vendedor le otorga a EL CORREDOR, el derecho a vender o promover las ventas sobre los bienes inmuebles (colectivamente denominados LA PROPIEDAD) de acuerdo a los precios, términos y condiciones de este contrato.

SEGUNDO: Al otorgarse el contrato de compraventa de LA PROPIEDAD, todos los derechos y obligaciones de este Convenio automáticamente se extenderán hasta la fecha del cierre real del contrato de venta.

TERCERO: LAS PARTES, reconocen que este contrato no garantiza que se realice una venta. Esta Propiedad se ofrecerá a cualquier persona sin tomar en cuenta la raza, color, religión, sexo, discapacidad, estatus familiar, origen ni ninguna otra índole protegida por las leyes nacionales e internacionales.

CUATRO: EL CORREDOR, reconoce y acepta que el derecho o autorización otorgados en la cláusula primera de este contrato, no es exclusivo.
 
QUINTO: DESCRIPCION DE LA PROPIEDAD Y/O PROYECTOS: Declara EL VENDEDOR, que es propietario de la propiedad.

SEXTO: Declara EL VENDEDOR que tiene el derecho legal para traspasar la Propiedad y todas las mejoras que se hagan en ella, comprometiéndose al saneamiento en caso de evicción.

SEPTIMO: PRECIO Y TERMINOS: Cada uno de los Proyectos que se ofrecen en venta se realizarán de acuerdo a los términos y disposiciones, emitidas por EL VENDEDOR, a través de medio escrito (vía e-mail, fax).
PRECIO: Tal como lo determine EL VENDEDOR de tiempo en tiempo e informe por escrito al Corredor.

OCTAVO: GASTOS DEL VENDEDOR: En relación a cada transacción, EL VENDEDOR pagara todos los gastos que esté de acuerdo en pagar, según cada Contrato de Compra y Venta.

NOVENO: OBLIGACIONES Y AUTORIZACION DEL CORREDOR: EL CORREDOR o AGENTE acuerda realizar esfuerzos continuos y diligentes para vender la Propiedad hasta que exista un contrato de Venta sobre la misma. EL VENDEDOR autoriza a EL CORREDOR:
1) A publicitar la Propiedad según EL CORREDOR estime aconsejable en diarios, publicaciones, redes de computadora, inclusive anuncios de "Se Vende" y "Vendido" (una vez que el Vendedor firme un contrato de venta); y a utilizar el nombre de EL VENDEDOR en relación al mercadeo o publicidad de la Propiedad;
2.)	A obtener información relacionada a la(s)
presente(s) hipoteca(s) sobre LA PROPIEDAD;
3.)	A suministrar información comparativa y objetiva
de análisis del mercado a compradores en potencia;
4.)	A actuar como corredor de transacciones.
5.)	Cumplir con cualesquiera deberes adicionales que se pacten en este convenio o en otro convenio por escrito.

DECIMO: OBLIGACIONES DEL VENDEDOR: Tomando en cuenta las obligaciones de EL CORREDOR, EL VENDEDOR acuerda:
1.)	Cooperar con el Corredor para cumplir el objetivo por el cual se redactó este Convenio, incluyendo el referir de inmediato al Corredor todas las dudas que existan por el traspaso de la Propiedad, ya sea mediante compra o cualquier otra forma de traspaso;
2.)	Poner LA PROPIEDAD a disposición del Corredor para que este pueda mostrarla en horarios razonables;
3.)	Informar a EL CORREDOR antes de arrendar, hipotecar o de otra forma afectar LA PROPIEDAD;
4.)	Librar a EL CORREDOR de cualesquier pérdidas, daños, costos y gastos de cualquier naturaleza, sea la que fuere, incluyendo honorarios de abogados, y de cualquier obligación contra cualquier persona en que incurra EL CORREDOR debido a: (a) La negligencia, declaraciones o declaraciones engañosas o faltas, acciones u omisiones por parte de EL VENDEDOR, (b) La existencia de hechos importantes no revelados sobre LA PROPIEDAD,
5.)	Hacer todas las declaraciones que legalmente se requieran inclusive todos los hechos que afecten de forma importante el valor de la Propiedad y que no son fácilmente observables ni conocidos por el comprador.
6.)	Informar a EL CORREDOR de cualesquiera hechos importantes que surjan después de la firma de este convenio;
7.)	Consultar con los profesionales apropiados sobre requisitos extranjeros existentes en materia de declaraciones legales, impositivas, de condiciones de propiedades, ambientales y sobre otras asesorías especializadas.

UNDÉCIMO: COMPENSACION: EL VENDEDOR compensará a EL CORREDOR tal como se indica a continuación, por conseguir un comprador que esté dispuesto y tenga la capacidad de comprar la Propiedad o cualquier interés en la Propiedad de acuerdo con los términos de este Convenio o con cualesquiera otros términos aceptables a EL VENDEDOR. EL VENDEDOR pagará al Corredor de acuerdo a los siguientes términos: cuatro por ciento (4%) de comisión sobre el total del precio de venta, en la fecha de cierre, de acuerdo con cada contrato de compraventa.
EL VENDEDOR pagara al CORREDOR la comisión de la siguiente manera: Al momento de del cierre de la del inmueble.

DECIMO SEGUNDO: TERMINACION: El VENDEDOR podrá cancelar este contrato en cualquier momento, por incumplimiento por parte del CORREDOR, de cualquiera de las cláusulas aquí acordadas, notificándolo por escrito. Si la transacción de venta no se consumase o no se ejecutara por causas atribuibles al VENDEDOR o al COMPRADOR, ambos estarán exentos de cualquier obligación de indemnizar al CORREDOR, incluyendo cualquier gasto en el cual este haya incurrido.
DECIMO TERCERO: Domicilios y Notificaciones: Cualquier reclamo, demanda, autorización, directiva, notificación, consentimiento o renuncia o cualquier otro documento que deba ser notificado entre LAS PARTES deberá hacerse por escrito a través de cualquier medio fehaciente como carta documento, telegrama, carta con acuse de recibo postal, actuación notarial, a los domicilios y a las personas que se indican a continuación:

DECIMO CUARTO: LEY APLICABLE Y JURISDICCION El presente contrato se constituye de acuerdo con las leyes de la República Mexicana y será interpretado en todo sentido de conformidad con éstas.
En el evento de que exista cualquier litigio o controversia, proveniente de, o relacionado con la interpretación, aplicación, ejecución y terminación de este contrato, así como también la disputa entre dos corredores para los efectos de la adjudicación en la compensación, podrán resolverse por los tribunales correspondientes de la Ciudad de México, D.F. 
DECIMO QUINTO: LAS PARTES reconocen y aceptan que este contrato figurara en el Lenguaje Español. Una interpretación libre en inglés podrá ser suplida y su contenido no afectará lo que se conviene en la versión en español.

DECIMO SEXTO: Declaran LAS PARTES que aceptan las cláusulas y condiciones del presente contrato.
